SERVICE

THE RULES FOR THIS SITE AND HOW ENGAGEMENTS RELATE TO IT. SIGNED PROJECT AGREEMENTS ALWAYS COME FIRST.

01 — Acceptance

These Terms of Service (the "Terms") are an agreement between you and WaySel ("WaySel," "we," "us"), 11772 W Sample Rd, Suite 130, Coral Springs, FL 33065, United States. By accessing or using this website (the "Site"), you accept these Terms and our Privacy Policy. If you don't agree, don't use the Site — no hard feelings.

If you are using the Site on behalf of a company, you represent that you have authority to bind that company, and "you" means the company.

02 — The studio & services

WaySel is a product-engineering studio: design-led development, AI-integrated builds, enterprise and healthcare software, cloud deployment, and marketing systems (together, the "Services"). The Site describes the Services and lets you contact us; it is informational and does not itself deliver the Services.

Actual engagements are governed by a separate written agreement — a proposal, statement of work, or master services agreement — signed before work begins. If these Terms conflict with a signed agreement, the signed agreement controls for that engagement.

03 — Briefs & submissions

The project brief on the Start a Project page composes an email on your device; sending it is your choice. Until we have signed a mutual non-disclosure or project agreement, anything you send us is received on a non-confidential basis — so share the goal, not the trade secrets. Don't send passwords, access credentials, protected health information, or anything you wouldn't put in an ordinary email.

You promise that whatever you send is yours to send and doesn't violate anyone's rights. We may use it to evaluate and respond to your inquiry — that's it, per the Privacy Policy.

04 — Acceptable use

Simple: use the Site like a decent person. You agree not to:

  • Probe, scan, disrupt, or overload the Site or its infrastructure, or attempt to gain unauthorized access to anything.
  • Scrape, harvest, or bulk-download content, or use Site content to train commercial datasets without written permission.
  • Misrepresent your identity or affiliation, or imply WaySel endorses you when it doesn't.
  • Use the Site for anything unlawful, or to transmit malware or spam.

05 — Intellectual property

The Site — its code, copy, imagery, motion, and the WAYSEL name and marks — belongs to WaySel or its licensors. We grant you a limited, revocable, non-exclusive license to view and use the Site for its intended purpose. No other rights are granted; don't reproduce, modify, or create derivative works from Site content without written permission.

For engagements: unless the signed agreement says otherwise, project fees pay for the work, not for the code. The client gets the product built, delivered, and running, plus the access needed to operate it and the people who keep it standing. The source code, and the intellectual property in it — along with any pre-existing tools, frameworks, and know-how — remain WaySel's.

Acquiring the source code or the IP is a separate purchase, negotiated and priced on its own terms and set out in its own agreement. It does not pass to the client on payment of a project invoice. If that's what you want, say so and we'll scope it.

06 — Third-party platforms & trademarks

Meta®, Facebook®, Instagram®, Google®, Google Ads™, Google Analytics™, YouTube™, Amazon Web Services®, Microsoft Azure®, Flutter™, Vercel®, and any other third-party names, logos, or marks referenced on this Site are trademarks of their respective owners. WaySel is an independent studio. We are not affiliated with, sponsored by, or endorsed by any of these companies; references describe interoperability and experience only. This Site is not part of any Meta or Google website, and is not endorsed by Meta Platforms, Inc. or Google LLC in any way.

When an engagement involves third-party platforms, those platforms' terms apply alongside the project agreement — including the Meta Platform Terms and Advertising Standards and the Google Ads API Terms of Service and Google Ads policies. Clients are responsible for ensuring their products, offers, creative, claims, and landing pages comply with platform policies and applicable law, including FTC truth-in-advertising and endorsement rules.

Platforms change their APIs, policies, pricing, and delivery systems without notice, and they review, restrict, or suspend accounts at their own discretion. WaySel is not responsible for platform outages, API deprecations, account reviews, ad disapprovals, or policy decisions outside our control — though when they happen, we'll be in the trenches with you.

07 — No guarantees, no advice

We build systems that are measurable by design, and we hold ourselves to the numbers. But search rankings, ad performance, return on ad spend, conversion rates, and revenue depend on markets, budgets, competitors, platform algorithms, and your own product. WaySel does not guarantee any specific business outcome, and case studies or testimonials on this Site describe those clients' results, not a promise of yours.

Nothing on this Site is legal, medical, financial, or tax advice. Decisions in those domains belong with your licensed advisers.

08 — Healthcare & HIPAA

Some of our engineering work is HIPAA-compliant healthcare software. Where an engagement involves protected health information, the parties execute a business associate agreement and the safeguards it requires as part of the project agreement. The Site itself is not a channel for protected health information — please don't submit any PHI through the brief or by email.

09 — Warranty disclaimer

The Site and all Site content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. WaySel does not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Warranties for the Services, if any, are stated exclusively in the signed project agreement.

10 — Limitation of liability

To the maximum extent permitted by law: (a) WaySel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Site, even if advised of the possibility; and (b) WaySel's total aggregate liability arising out of or related to the Site will not exceed one hundred US dollars (US $100). Liability for the Services is addressed in the signed project agreement, not these Terms. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11 — Indemnification

You will defend, indemnify, and hold harmless WaySel and its principals, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right in material you submit to us.

12 — Governing law & disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Before anyone files anything, both sides agree to try to resolve the dispute informally: email info@waysel.com with "DISPUTE" in the subject and we'll talk like adults for 30 days.

If that fails, disputes will be resolved exclusively in the state or federal courts sitting in Natrona County, Wyoming, and you consent to their jurisdiction. Either party may seek injunctive relief for IP misuse in any court of competent jurisdiction.

13 — DMCA

If you believe content on this Site infringes your copyright, send a notice under 17 U.S.C. § 512 to info@waysel.com (subject "DMCA NOTICE") or by mail to WaySel, 11772 W Sample Rd, Suite 130, Coral Springs, FL 33065. Include:

  • Identification of the copyrighted work and of the material claimed to infringe, with enough detail to locate it.
  • Your contact information.
  • A statement of good-faith belief that the use is unauthorized.
  • A statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the owner.
  • Your physical or electronic signature.

We respond promptly, including removing or disabling access to material where appropriate.

14 — Changes

We may update these Terms; the current version always lives at this URL with its effective date at the top. Changes apply going forward from posting. If you keep using the Site after a change, that's acceptance.

15 — General

  • Severability — if a provision is unenforceable, the rest stands.
  • No waiver — not enforcing a provision once doesn't waive it forever.
  • Assignment — you may not assign these Terms without our consent; we may assign them in a merger or sale.
  • Entire agreement — these Terms and the Privacy Policy are the whole deal for Site use; signed project agreements are the whole deal for engagements.
